Abstract

This research aims to systematically review the evolution of corporate governance in public companies, emphasizing the importance of integrating Environmental, Social, and Governance (ESG) principles in modern governance practices. Through the Systematic Literature Review (SLR) approach, as many as 10 studies from the 2013–2023 period have been analyzed to evaluate the development of concepts, challenges, and legal and structural reforms that affect the effectiveness of corporate governance. The results of the review show that the corporate governance paradigm has shifted from a traditional shareholder-oriented approach to a more inclusive model, taking into account the interests of other stakeholders, including society and the environment. Transparency, accountability, and internal and external oversight are the main pillars in creating sustainable governance. In the Asian region, legal challenges and weak enforcement are significant obstacles, but the corporate scandal that occurred has actually become a catalyst for governance reform. This research recommends the need for structural reforms and strengthening the legal framework so that companies can maintain business sustainability while increasing public and investor confidence. The integration of ESG principles is believed to be the key to addressing global challenges and creating sustainable long-term value for all stakeholders.
